Cap Table Calculator

Lay out who owns what, then model a priced round to see the new share price, new shares and post-round ownership.

Quick answer

A cap table lists each holder's shares and ownership percentage, including the option pool. For a priced round, price per share = pre-money valuation / pre-money fully diluted shares, and new shares = investment / price.

Assumptions & method

  • Fully diluted shares count issued shares plus the whole option pool (granted and unissued).
  • Investor % = investment ÷ post-money, where post-money = pre-money + investment.
  • Pool target p is the pool as a share of post-round fully diluted shares. Post-round total N = existing holder shares ÷ (1 − p − investor %), and pool shares = p × N.
  • If the existing pool is already larger than the target, no pool shares are added and N = (holders + existing pool) ÷ (1 − investor %).
  • Price per share = post-money ÷ N, which equals pre-money ÷ (holders + enlarged pool). Share class is a label only; preferences, vesting and convertibles are not modelled.

From cap table to priced round

A cap table records every holder's shares and the option pool, and turns them into fully diluted ownership percentages. When a new round is priced, the investor's percentage equals the investment divided by the post-money valuation. The pool is usually topped up before the money arrives, so the price per share is the pre-money valuation divided by all pre-money shares including the enlarged pool. That means founders and earlier holders bear the dilution from both the investor's shares and the new pool shares. This calculator solves for the new share count and price, then shows the table before and after the round.
